Welcome to clubnoods.com. These Terms of Service (“Terms”) govern your access to and use of our website, clubnoods.com, and our subscription box services (collectively, “Please Send Noods”).
By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our Service.
1. Acceptance of Terms
By creating an account, subscribing to a box, or otherwise using our Service, you confirm that you have read, understood, and agree to be bound by these Terms, including any future modifications. We reserve the right, at our sole discretion, to change or modify portions of these Terms at any time. If we do this, we will post the changes on this page and indicate the date these Terms were last revised. Your continued use of the Service after the date any such changes become effective constitutes your acceptance of the new Terms and Conditions.
2. Eligibility
You must be at least 18 years old to subscribe to our Service. By using the Service, you represent and warrant that you are 18 years of age or older and have the legal capacity to enter into a binding agreement.
3. Subscription Service
3.1 Subscription Plans: We offer various subscription plans (e.g., monthly, 3-month prepaid, 6-month prepaid, 12-month prepaid). Details of each plan, including pricing and billing cycles, are available on our website.
3.2 Automatic Renewal:
Monthly Subscriptions: Your monthly subscription will automatically renew each month at the then-current subscription rate.
Prepaid Subscriptions (e.g., 3, 6, 12 months): Your prepaid subscription will automatically renew at the end of its prepaid term (e.g., after 3 months, 6 months, or 12 months) at the then-current subscription rate for the equivalent prepaid term, unless you cancel prior to the renewal date.
3.3 Billing: By providing a payment method, you authorize us to charge the applicable subscription fees to your designated payment method on a recurring basis, according to your chosen plan. All payments are non-refundable, except as expressly stated in our Refund Policy (see Section 6). Prices are subject to change. We will notify you in advance of any price changes that would affect your recurring subscription.
3.4 Managing Your Subscription: You can manage your subscription, including updating payment information, pausing, skipping, or canceling your subscription, through your account portal on our website. To avoid being charged for the next billing cycle, you must cancel your subscription before your next renewal date. Cancellations will take effect at the end of your current paid billing period.
4. Products
4.1 Box Contents: The specific contents of each subscription box are curated by us and may vary from month-to-month or term-to-term. While we strive to provide a consistent experience, the exact items may differ based on availability, seasonal changes, and other factors.
4.2 Allergens/Dietary Restrictions: It is your sole responsibility to review the ingredients and any allergen information for all products included in your box before consumption or use. We are not responsible for any adverse reactions to products received. If you have severe allergies, we recommend exercising extreme caution or refraining from using our Service. We may offer options for dietary preferences, but we cannot guarantee that every box will perfectly accommodate all restrictions.
5. Shipping and Delivery
5.1 Shipping Zones: We currently ship to the United States. Shipping costs may vary based on your location and subscription plan.
5.2 Delivery Schedule: Boxes are typically shipped on the last full week of each month. Delivery times may vary depending on your location and carrier delays. We are not responsible for delays caused by the shipping carrier or unforeseen circumstances.
5.3 Incorrect Address: It is your responsibility to ensure your shipping address is accurate and up-to-date in your account portal. We are not responsible for lost or undelivered boxes due to incorrect address information provided by you. Reshipment of returned boxes due to an incorrect address may incur additional fees.
5.4 Risk of Loss: The risk of loss and title for items purchased from us pass to you upon our delivery to the carrier.
6. Refund Policy
Due to the curated nature of our subscription boxes and the operational costs involved, all subscription payments are non-refundable. This includes monthly renewals, prepaid subscriptions, and gifts.
6.1 Damaged/Missing Items: If you receive a box with damaged or missing items, please contact our customer service team at support@clubnoods.com within 7 days of delivery with photo evidence (if applicable). We will work with you to resolve the issue, which may include replacing the damaged/missing item or providing a credit for a future box.
6.2 Cancellations: If you cancel your subscription, you will not be charged for future billing cycles, but you will still receive any boxes for which you have already paid.
7. Intellectual Property Rights
All content on our website, including text, graphics, logos, images, and software, is the property of clubnoods.com or its content suppliers and protected by intellectual property laws. You may not use any content from our Service without our express written permission.
8. User Conduct
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service to transmit any advertising or promotional material without our prior written consent.
- Use the Service in any way that violates any applicable federal, state, local, or international law or regulation.
- Engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Service, or which, as determined by us, may harm us or users of the Service.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CLUB NOODS LLC, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
11. Indemnification
You agree to defend, indemnify, and hold harmless Club Noods LLC and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; or b) a breach of these Terms.
12. Governing Law and Jurisdiction
These Terms shall be governed and construed in accordance with the laws of Texas (USA), without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Austin, TX (USA).
13. Severability
If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
